After much consideration, we have made the decision to close our company formation service from 10am on 31st October 2025.
All applications received on or before this time will be processed as usual, so if you are in the middle of setting up a company with us, there is no need to worry.
This decision is part of a wider review of the services we provide. With rising costs, reduced margins, and upcoming changes to the company formation process, continuing this service is unfortunately no longer sustainable.
It’s important to reassure you that company formations is a relatively small part of what we do, and the rest of our business is thriving. In fact, we’ve recently expanded our team to meet demand for our other services.
Why are we closing the service?
- Market changes: Most formation agents now rely on commissions from banking partners and often operate the actual formation process at a loss. Increasing our prices is not an option, as the market is highly price-sensitive.
- Rising costs: Like many businesses, we’ve seen increased operating costs in recent years, alongside higher National Insurance and wage pressures.
- New Companies House rules: From 18th November 2025, the government introduce a new mandatory identity check where each director and PSC must obtain a 'Companies House personal code' before a company can be registered. This will make the process slower and more complex, and would require significant updates to our systems.
- Competition from GOV.UK: Since 2015, Companies House has been offering its own direct online company formation service. With the new changes and the anticipated integration of Companies House online services into the GOV.UK One Login system, forming a company directly with the government will become the simplest and most cost-effective route.
To continue offering formations ourselves and carrying out identity checks, we would need to register as an ACSP with Companies House and carry out enhanced ID checks. These checks are more expensive than the current ID checking process we utilise. The new GOV.UK One Login service is now offering the public free identity checks in order to obtain a personal code. We do not believe it would be fair to charge our customers a fee to obtain the personal code when they can obtain it from Companies House at no cost.
After forming companies for over 20 years, this has been a difficult decision, but the time has come to close this chapter.
What does this mean for you?
- Forming a new company: You can apply directly through Companies House, or use one of the many other formation agents still providing low-cost services.
- Existing applications: Any applications already submitted to us will be completed before the new rules take effect. If for any reason this is not possible before 18 November 2025, we will refund your fees in full.
- Completed applications: All documents saved in our system will remain available to download beyond the closure date. We aim to keep your logins valid into next year but would recommend you download and save any documents you wish to retain before the end of this year.
- Our staff: No jobs are affected by this change. Our team will continue working on the other services we provide, which are unaffected and growing strongly.
